These Terms of Service (“Terms”) govern your access to and use of the website operated by DiversyFund, Inc. and its affiliates (collectively, “DiversyFund,” “we,” or “us”) and related online services (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Your use of the Site is also subject to our Privacy Policy. Text message programs are described in our SMS Terms & Conditions.
Offering circular documents
Regulatory offering materials for our REIT vehicles are made available below for review and download. The following offering circulars, with any supplements and amendments, supplement these Terms:
1. Eligibility
You must be at least 18 years of age to use the Site. You represent that the information you provide to us is accurate and complete and that you will keep it current.
2. Accounts and security
If you create an account or submit information through the Site, you are responsible for safeguarding your credentials and for activity under your account. Notify us promptly at investorsupport@diversyfund.com if you believe your account has been compromised.
3. Not investment, tax, or legal advice
Content on the Site is for general informational purposes only and does not constitute investment, tax, legal, or other professional advice. You are solely responsible for your investment decisions and for conducting your own due diligence. You should consult licensed professionals regarding your specific circumstances.
4. Risks
Investments involve risk, including the possible loss of principal. Past performance is not a guarantee of future results. Offerings may be available only to investors who meet applicable eligibility standards. Nothing on the Site is an offer to sell or a solicitation to buy any security in any jurisdiction where that would be unlawful.
5. Restrictions and acceptable use
You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with the Site’s operation, scraping or harvesting data in violation of these Terms or applicable law, introducing malware, or using the Site for any unlawful purpose. We may suspend or terminate access for conduct we reasonably believe violates these Terms or puts DiversyFund or others at risk.
6. Intellectual property
The Site and its content (including text, graphics, logos, and software) are owned by DiversyFund or its licensors and are protected by intellectual property laws. Except as expressly permitted by us, you may not copy, modify, distribute, sell, or create derivative works from the Site or its content.
7. Third-party links and services
The Site may link to third-party websites or services. We do not control and are not responsible for third-party content or practices. Your use of third-party sites is at your own risk and subject to their terms and policies.
8. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, DIVERSYFUND AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID US (IF ANY) FOR ACCESS TO THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
10. Indemnity
You agree to defend, indemnify, and hold harmless DiversyFund and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any third-party right.
11. Governing law; venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to applicable law, you agree that exclusive jurisdiction and venue for disputes arising from these Terms or the Site will lie in the state and federal courts located in San Diego County, California.
12. Changes
We may modify these Terms at any time by posting an updated version on the Site. The “Last updated” date above will be revised when we do. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.
